 Tombstone
ad must contain but be limited to:
- Identity of subject company and bidder
- Amount of securities sought and type and amount of consideration
- Scheduled expiration date
- Whether the tender offer may be extended,
procedures for extension
- Whether a subsequent offering period will be available
- Withdrawal rights date
- Procedures for tendering and withdrawing securities
- Manner in which securities will be accepted for payment
- Bidder's intentions if offer is oversubscribed (proration),
if offer is for less than all securities of a class
- Material differences in securities exchanged, if material
- Accounting treatment, if material
- Federal income tax consequences, if material
- Statement incorporating certain items from Schedule TO
- Instructions on obtaining bidder's tender offer materials
- If applicable, statement that tender offer materials will be sent using a
shareholder list
and that the list has been requested
