Item 15(b) Describe consideration therefor

State the nature and amount of consideration to be paid or received by the registrant or any subsidiary.
To the extent practicable, outline briefly the facts bearing upon the question of the fairness of the consideration.

Item 15(c) Transferer / Transferee

State the name and address of the transferer or transferee, as the case may be and the nature of any material relationship of such person to the registrant or any affiliate of the registrant.
