1(c) Deadlines for shareholder proposals

- Rule 14a-5(e):
All proxy statements shall disclose, under an
appropriate caption, the following dates:
- (1)
The deadline for submitting shareholder proposals for inclusion in the
registrant's proxy statement and form of proxy for the registrant's next annual
meeting, calculated in the manner provided in
Rule 14a- 8(d)(Question 4); and
- (2) The date after which notice of a shareholder proposal submitted outside the
processes of Rule 14a-8 is considered untimely, either calculated in the manner
provided by Rule 14a-4(c)(1) or as established by the registrant's advance
notice provision, if any, authorized by applicable state law.
- Disclosure in compliance with Rule 14a-5(e)(1) is
drafted with reference to the day counting conventions set forth in Rule
14a-5(e)(Question 5)
- Disclosure in compliance with Rule 14a-5(e)(2) is
drafted with reference to the interplay of Rule 14a-4(c)(1), any advance notice
provisions in the company's charter or bylaws, and state law
