        This 27th day of January, 2005, upon consideration of the briefs and arguments of the parties, it appears to the Court that the Court of Chancery's factual determination as to the appropriate tax rate to apply to projected future earnings in a discounted cash flow valuation was supported by the record, and that the Court of Chancery correctly applied settled law in determining the fair value of Heng Sang Realty Corp. pursuant to the appraisal statute, 8 Del. C. §262. Accordingly, the judgment of the Court of Chancery is AFFIRMED.
